Executive Summary

ART Delivers presents three investment opportunities, each providing a social benefit in the provision of relief to communities affected by disasters.

The first opportunity is the ability to purchase expertly curated works of art as well as shares of ownership in high-quality art portfolios. The portfolios will be held in Unit Investment Trusts designed for specific risk categories. The constituents of the portfolios will be selected for their expected appreciation during the lifetime of the Trust. A portion of sales will be used for funding disaster relief projects.

The second opportunity is the ability to purchase shares in the ART Delivers platform. The platform will provide a global market for expertly curated art, the operations center for disaster relief projects, an interface for those in need of assistance, and a contact point for artists seeking representation in the ART Delivers marketplace.

The third opportunity is in the development of the ART Delivers Art Center, a modern complex that will house ART Delivers headquarters, gallery space, secure art storage, office, and retail space. The planned construction of the Center in an Opportunity Zone will present excellent tax advantages to investors.

Art Investment Opportunities

Investors have limited options when investing in art. Direct acquisition through auctions and galleries is common for the procurement of high-value art and that of new up-and-coming artists. Acquisition of single high-value works carries the associated risk of a non-diversified art portfolio. During the aftermath of the real estate crash in 2008, the highest appreciation was for works in the 1% category in terms of valuation. Investors unable to acquire works at such price points have invested in Art Funds, which typically have investment requirements of $500k USD or more. Newer approaches to pooled investment have included blockchain-based ownership which at this point in time has been focused on pooled investments in single high-value works and participation has typically been limited to accredited investors.

ART Delivers Opportunities

ART Delivers brings three types of investment opportunities, all of which provide additional social benefits through disaster relief projects.

ART Delivers Platform

The platform is the engine that drives ART
Delivers operations. It is the online presence and marketplace, the staff that vets potential disaster relief projects, and the curators and appraisers who find and formulate risk- categorized art investment opportunities.

Art Unit Investment Trusts

Similar to Unit Investment Trusts composed of stocks, bonds, and other securities, the Art Unit Investment Trust is an investment vehicle in which a group of investors is able to collectively own one or many works of art. Each UIT will The constituents of each UIT will be selected based on the risk category for the UIT and for the appreciation expected during the designated lifetime of the UIT.

ART Delivers Art Center

The Art Center is the future headquarters of ART Delivers and will comprise office and gallery space, as well as a retail complex. This is a potential opportunity zone investment.

ART Delivers Platform

Website and Online Marketplace

Disasters occur on every continent and the reach of ART Delivers disaster relief must be global. Likewise, the opportunity to invest in high-quality art and for artists to market, their work in a curated marketplace must also be global. ART Deliver’s online presence will provide those in need of disaster relief a means to submit proposals and requests for assistance, artists will be able to request addition to the curated marketplace, and investors will be able to learn about potential investment opportunities in individual works as well as unit investment trusts.

Disaster Relief Project Assessment

Once disaster relief project proposals are received they will be vetted based on their feasibility, potential funding, and other criteria. Once a candidate project passes this assessment the curation and appraisal the team will be consulted regarding the design of suitable art investment products whose sales can fund the project.

Art Curation and Appraisal Team

The curation and appraisal team is responsible for determining the combination of artworks that should be sold to fund the project and may include the use of one or more UITs in addition to individual works.

Art Response Team

The ART Response Team is responsible for the execution of a disaster relief project. They handle the logistics associated with moving supplies, work with engineers on the design of project deliverables, management of volunteers, and gain approvals from government agencies.

Unit Investment Trusts

Each ART Delivers UIT will be formulated according to a specific risk profile and will contain one or more works of art selected by the ART Delivers appraisal and curation team to produce a targeted return at the end of its predetermined lifetime. The UIT approach was chosen to enable accessibility to investment in high-quality art by non-accredited investors. Investors will have the ability to invest in multiple UIT instruments having varying risk profiles, expiration dates, and genres. One UIT might hold five significant black and white photographs by prominent American photographers from the 20th century, while another might hold three paintings by 20th-century French painters. The art will be held in ownership by an LLC and shares of the LLC will constitute the securities owned by the UIT.

Art Center

The ART Delivers Art Center will incorporate offices for ART Delivers staff, a climate-controlled vault for storage of art, galleries, meeting facilities, and retail space. Revenue will be generated from the rental of office and art storage, and event space, and from leases on retail spaces. Opportunity zones offer significant tax advantages from deferment of capital gains and non-taxable returns from the business profits returned to shareholders. ART Delivers is seeking a suitable opportunity zone property for the development of the Art Center. Whereas many investment opportunities in opportunity zones tend to offer few cultural benefits, the Art Center will be a prominent cultural icon in the area.

Return on Investment

Platform

Investors in the ART Delivers platform have the opportunity to earn dividends from the ART Delivers business operations involving the sale of art and other goods sold in the ART Delivers marketplace.

UIT

The ART Delivers UIT strategy is to bring risk-categorized art investments to investors seeking diversification in their investment portfolios while supporting the ART Delivers mission of funding worthy disaster relief projects. Each UIT is designed to deliver a target return based on the analysis and portfolio formulation of professional curators and appraisers. Each UIT will have its own prospectus and risk profile. Investors will have a wide range of UIT options from which to choose.

Art Center

The ART Delivers Art Center will generate revenue through leasing its gallery, office, and retail space. The galleries and office space will be leased by ART Delivers, and the retail space will be leased to other high-quality retail tenants. Contingent on the availability and suitability of locating the Art Center in a tax-advantaged location, investors may see additional returns and tax advantages associated with this investment.

Eric DeGroot

Mr. de Groot is a serial entrepreneur starting Exclusively European, Inc as long ago as in 1982. He is a passionate global educator and experienced entrepreneur.De Groot is multi-lingual and recognized as an International Liaison by the State of Georgia (HR211), has received numerous awards from the City of Atlanta, and has served on boards for three decades, including as the President of a Foundation. He has been called an ‘Idea-Machine’ and works tirelessly on helping humanity by focusing on projects that stimulate innovation and create jobs. He works with artists all over the world and considers art as the bridge and solution for the era we live in and the problems that we collectively face. To put it into his own words;” Art is the Soul of our Humanity.” Education in Amsterdam, The Netherlands, and London, England, UK.

Viviette Hunt

Viviette Hunt has been the director of Richard Levy Gallery since 2000 and is ArtAttendant’s visionary creator and founding partner. She dedicates her efforts to building artists’ legacies, collection management, and exhibition programming. Viviette also worked part-time as an archivist at the Frederick
Hammersley Foundation for many years where she was inspired to create an intuitive and accessible archive experience. She is an advocate of strategic archive and collection management and brings over 20 years of experience in archive management and commercial sales to support your collection needs.

Dr. Milly Perry

Dr. Milly Perry is a researcher and teaching fellow at Tel Aviv University (Art Market) and ONO academic College (Blockchain for Business). She is the author of the Book “Blockchain – turning egosystem to ecosystem”(Hebrew), and an advisor to technological corporations and government strategic change management in order to implement and incorporate blockchain mindset, strategy, and technology. In addition, she was a Blockchain Expert at the World Economic Forum and Israeli delegate to the Blockchain ISO focusing on Blockchain Policy (national and international) DAO, Governance, Identity, and Ecosystem Formation.

Jim Michael

Mr. Michael has over 25 years of experience in technology research and development. He is an expert in biometrics-based security systems and has a Master of Science in Physics from Georgia State University. He collects folk art and photography and is the author of STO Revolution: How the New Wave of Security Token Offerings Will Disrupt Investing.
